“Artist” means any user who uploads, distributes, licenses, or sells content through 45Audio.

“Customer” means any user who purchases, downloads, streams, licenses, or accesses content through 45Audio.

“Content” includes audio recordings, music files, artwork, images, videos, metadata, lyrics, descriptions, and related materials.

Artist Eligibility

Artists must:

• Be at least 18 years old or have legal authorization to enter binding contracts.
• Own or control all rights necessary to upload and distribute content.

Artist Ownership

This license remains active while content is available on the platform.

Artist Representations and Warranties

Artists represent and warrant that:

• All samples, beats, recordings, artwork, and performances are properly licensed.

Royalties and Revenue Sharing

45Audio reserves the right to deduct:

• Payment processing fees
• Chargebacks
• Refunds
• Taxes required by law
• Fraud-related losses

Royalty calculations shall be determined solely from platform sales records.

Artist Payouts

Artist payouts may be issued through approved payment providers.

Artists are responsible for:

• Providing accurate payout information
• Paying any taxes owed
• Maintaining current payment details

45Audio may delay or withhold payouts when:

• Fraud is suspected
• Copyright disputes exist
• Account verification is incomplete
• Chargebacks occur

Customer Purchases

45Audio Artist Agreement

Effective Date: June 6, 2026

This Artist Agreement (“Agreement”) is entered into between 45Audio (“Platform”) and the Artist (“Artist”) who uploads, distributes, licenses, or sells content through 45Audio.com.

Artist Ownership

The Artist retains all ownership rights, copyrights, and intellectual property interests in content uploaded to the Platform.

Nothing in this Agreement transfers ownership of the Artist’s content to 45Audio.

License Granted to 45Audio

The Artist grants 45Audio a worldwide, non-exclusive license to:

• Host content
• Display content
• Promote content
• Stream content
• Sell content
• Deliver downloads
• Create previews and promotional excerpts

solely for purposes of operating and marketing the Platform.

Artist Responsibilities

The Artist represents and warrants that:

• They own or control all rights necessary to distribute the content.
• Any samples, beats, recordings, artwork, and performances are properly licensed.
• The content does not infringe any third-party rights.
• The content complies with applicable laws.

Royalties

Artists shall receive royalties according to the revenue-sharing schedule published by 45Audio.

45Audio reserves the right to deduct:

• Payment processor fees
• Refunds
• Chargebacks
• Taxes required by law

Payouts

Payouts may be made through approved payment providers.

Artists are responsible for:

• Providing accurate payment information.
• Maintaining current tax information.
• Reporting and paying taxes due on royalties.

Content Removal

Artists may request removal of content from the Platform.

Previously completed customer purchases may continue to be available to those customers.

Account Suspension

45Audio may suspend or terminate Artist accounts that violate Platform policies, infringe copyrights, engage in fraud, or create legal risk.

Limitation of Liability

45Audio shall not be liable for indirect, consequential, incidental, or special damages related to Artist participation on the Platform.

Governing Law

This Agreement shall be governed by the laws of the State of Michigan.
